Boskalis update share buyback

Boskalis consortium Rinkoniên is awarded major subproject in Antwerp’s Oosterweel link

Papendrecht, 5 January 2021 Lantis today announced that the major subproject of the Oosterweel link in Antwerp, Belgium has been awarded to the Rinkoniên consortium consisting of Boskalis, Mobilis, CIT Blaton, Artes Group and Stadsbader. As a Flemish public entity, Lantis is responsible for the realisation of complex mobility projects in the Antwerp region. The Oosterweel link project consists of several sub-projects with the objective to completely close the ring road around the city of Antwerp. The subproject awarded to Rinkoniên consist of two parts, namely the construction of the Oosterweel junction and the replacement of the Royers lock. The total contract value is in excess of EUR 500 million with Boskalis’ share being approximately 20%. The Oosterweel junction The construction of the Oosterweel junction is necessary to connect the Scheldt Tunnel from the west with the Eastern ring. The junction will be submerged into the landscape over a distance of 1,700 meters and will have 8 lanes with access roads and exits to the port and the north of the city of Antwerp. The open submerged tunnel will be constructed at a depth of 15 to 30 meters, requiring more than 3 million cubic meters of earthwork. The consortium, together with Lantis, will work towards a final design after which the construction phase will commence. The consortium expects to complete the project in 2030. The Royers lock As part of the Oosterweel link, the old inland shipping lock dating from 1907 needs to be replaced. The current lock will be replaced by a new 230 meters by 36 meters lock suitable for four push barges providing more capacity and reducing road traffic congestion. The lock was tendered and awarded by Lantis however is being constructed on behalf of the Port of Antwerp and the Department Maritime Access (AMT), which are also responsible for the design and engineering of the lock. The consortium will demolish the current lock and construct the new enlarged lock chamber. The supply and installation of two lock gates and two bridges as well as the electromechanical control will be outsourced by the consortium to specialized local companies. Boskalis bolsters market position in subsea services through acquisition Rever Offshore

Papendrecht, 5 January 2021 Boskalis announces the acquisition of all the shares of Rever Offshore’s subsea services business (‘Rever’). Rever, formally known as Bibby Offshore, offers a broad range of solutions in the area of subsea construction, inspection, repair and maintenance. Rever has historically operated in the North Sea out of Aberdeen (United Kingdom) and holds a strong track record. Through this transaction, Boskalis will obtain two diving support vessels of which one is fully owned (Rever Polaris) and a second chartered (Rever Topaz). The group employs an onshore staff of around 130 in addition to approximately 220 offshore workers. The 2020 annual revenue is approximately EUR 90 million, most of which is generated through numerous framework agreements. Based on projected cost synergies, the acquisition payback period is expected to be less than three years. Through this acquisition, Boskalis strengthens its current position in the subsea services market in Northwest Europe, Africa and the Middle East and its capabilities to serve both the traditional oil & gas market and the rapidly expanding offshore wind market. Boskalis cancels 5.1 million shares

Papendrecht, 17 December 2020 Royal Boskalis Westminster N.V. (Boskalis) has reduced its share capital by cancelling 5,100,506 ordinary shares held in treasury. The treasury stock was acquired by Boskalis as part of its share buy-back program. The total number of issued ordinary shares now amount to 130,277,832 (previously 135,378,338). With reference to the current and ongoing EUR 100 million share buy-back program, Boskalis has to date completed 75.17 percent of the program. In accordance with regulatory requirements, Boskalis has notified the Dutch Authority for the Financial Markets (AFM) of the change in its issued share capital. Boskalis receives EUR 1.5 billion land development project for Manila International Airport in the Philippines

Papendrecht, 15 December 2020 Boskalis has received a Letter of Confirmation of Acceptance of Bid for the Land Development Design and Construction of the Manila International Airport (MIA) in the Philippines. The Letter of Confirmation was issued by San Miguel Aerocity Inc (SMAI), a subsidiary of San Miguel Corporation (SMC), one of the largest and most diversified companies in the Philippines. SMAI is the concession holder of MIA, which is a greenfield development aimed at serving the growing air traffic demands in the Greater Capital Region of Manila and will complement the air traffic operations at the existing and congested Ninoy Aquino International Airport. The MIA land development project has an estimated value of EUR 1.5 billion, making this the largest project in Boskalis’ history. Through this project, we have secured the utilization for our large dredging vessels for the coming years. ” Approximately 1,700 hectares of land will be developed for the MIA airport in Bulakan, located around 20 kilometers north from the heart of Metro Manila in Bulacan Province. The land development project will be designed according to the highest technical and environmental standards to withstand potential large earthquakes, local typhoons and future sea level rise. The government of the Philippines has granted a 50-year concession to SMAI to build, operate and maintain the airport. The land development phase will be financed through a consortium of international banks. SMC has completed its environmental and social impact assessment consistent with local regulations and is currently conducting a more comprehensive study to ensure long-term sustainability and adherence to international standards. For the dredging activities, which will span over a period of three years, Boskalis will deploy a number of trailing suction hopper dredgers including its largest mega hopper dredgers and a large cutter suction dredger. Boskalis’ workplan and methodology includes measures to prevent soil liquefaction in the entire area through the use of dynamic compaction. Preparatory work is scheduled to commence in the first quarter of 2021 with the land development project expected to be completed by the end of 2024. Boskalis awarded EUR 75 million worth of infrastructure projects in the Netherlands

Papendrecht, 7 December 2020 Boskalis has been awarded two infrastructure projects in the Netherlands with a total contract value of approximately EUR 75 million. Boskalis will construct a new inland harbor in Spijk in the Netherlands on behalf of Rijkswaterstaat. The harbor is located on the river Waal close to the German border. The harbor is intended for inland vessels and will increase the capacity, safety and accessibility. For this project approximately three million cubic meters of soil will be moved by means of a small cutter suction dredger and other earthmoving equipment. Work will commence early 2021 with a lead time of approximately 2.5 years. Boskalis expects to reduce its CO2 emissions by more than 50% on this project by using a sustainable biofuel. Boskalis will furthermore redesign the N241 provincial road in the North of the Netherlands. This contract was awarded by the Province of Noord-Holland and PWN and includes the widening of the road and additional road safety related improvements.
